“The board chair, vice chair, treasurer, secretary, and ceo shall be members of the executive committee by reason of their office. The ceo shall serve on the committee ex-officio without a vote. The board may appoint other of its members to serve on the committee. At each annual meeting or at such other time as the board may designate, the board of directors shall make such determination and elect for a term of four years, the appropriate number of persons to the committee. The executive committee shall have the power to act for the full board in all matters between regularly scheduled meetings of the board of directors, consistent with established board policies and/or direction, and to the extent permitted by applicable state, federal and local laws and regulations. Such power shall include, but not be limited to, the authority to approve expenditures of funds up to$100,000 for immediate operating and other business needs requiring immediate action and making application for grants. The ceo shall be authorized to make expenditures of funds for immediate operating and other business needs, including, but not limited to, emergencies, grant applications, grants, etc. Up to $25,000. Such action(s) shall be reported to the board at the board's next meeting. The quorum requirement for this committee shall be a majority of committee members. All actions of the executive committee shall be fully reported to the full board of directors at the board's next meeting. The full board shall be informed of the action(s) which shall be recorded in the minutes of the board meeting.”

“Annually, carestl health has its employees and board of directors sign a conflict of interest form and compare any named identified conflicts to its current businesses/vendors list. Thereafter, when a new contract and/or grant is signed, carestl health's compliance department reviews its list of conflicts to determine whether any employee and/or board members has any potential connections. If a conflict is found, the organization informs and recommends to the president/ceo that said employee prohibited from participating in the execution of said contract/grant and/or said board member be prohibited from participating in any discussions and/or discussion making as it relates to said conflict/grant. Thereafter, the president/ceo advises said individual of such. Finally, from time to time throughout the year carestl health's compliance department provides guidance on the policy.”

“The ceo reviews and decides officers salaries yearly. The ceo's salary is evaluated annually by the board of directors and the salary is negotiated. A salary and wage scale and an analysis by human resources to compare area ceo's salaries is used to determine the ceo's salary which is then approved by the board of directors. The salary and wage scale is updated every three years.”
