All committee members are required to complete an annual conflict of interest disclosure statement. The coi's are reviewed by all committee chairmen prior to all meetings. The review is listed as a discussion item on every committee agenda and the review and discussion is documented in the committee meeting minutes.

The ceo's salary is determined each year by the executive compensation committee. This committee is comprised of three auaer board members. The auaer treasurer, director of human resources and aed, finance & organizational services serve as non-voting liaisons/advisors to the committee. At the beginning of the contract period (5 years as of 2013) human resources conducted a salary survey and it was determined that the ceo's salary would be increased to the 75th percentile of the 2013 average salary for comparable positions. A proposed plan was prepared to reach this target over the five year period. A comprehensive performance review was completed by various groups including auaer staff, board members and committee chairs. The compensation committee's recommendation was reviewed and voted on by the board of directors. All compensation discussions are conducted during an executive session of the board where the ceo is not present. Auaer does not have a formal process that includes a review and approval by independent persons, comparabillity data, and contemporaneous substantiation of the deliberation and decision for determining compensation of the other officers and key employees of the organization. However, the organization does subscribe to salary surveys and uses an internal compensation committee to review the compensation of select positions.

Employees of the american urological association education and research (auaer) also provide services to the american urological association, inc. (aua), a related exempt organization, and to the urology care foundation, inc. (ucf), a related exempt organization. The aua and the ucf reimburse the auaer for those services. The aua also remburses for use of building or other assets owned by the auaer through a cost sharing arrangement.

Financial Statement Notes

PART III, LINE 1A:

The organizations' collections are made up of artifacts of historical significance, scientific specimens, and art objects that are held for educational, research, scientific, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. The organizations have not capitalized objects donated to the history of urology museum, and, as a result, does not list any value for those objects on the combined statements of financial position.

PART V, LINE 4:

The endowment funds are held and administered by both the urology care foundation, inc., a related exempt organization, and the american urological association education and research, inc. Endowment funds are used to support research scholarships and awards for the advancement of urologic medicine.

PART X, LINE 2:

The organization has adopted the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by tax authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addressed de-recognition classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated the organization's tax position and concluded that the organization has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. The organization is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities before 2013.
