“The conflict of interest policy is reviewed annually by each trustee, officer and key employee and is to acknowledge in writing that he or she had done so. A conflict of interest disclosure form is signed by each trustee, officer, key employee and volunteer annually at the beginning of each calendar year. If a conflict of interest should occur involving action on a contract or transaction during any board or committee meeting the trustee, officer, key employee or volunteer is to provide full disclosure of all facts material to the conflict to the full board while in the meeting. This conflict is to be reflected in the minutes. Any trustee, officer, key employee or volunteer present and aware of a potential conflict of interest involving another trustee, officer, key employee or volunteer must report the potential conflict to the full board. A person who has a conflict of interest is not allowed to participate in or be permitted to hear the board's or committee's discussion except to disclose material facts and to respond to questions. Such person will be excused from the meeting, shall not be counted in determining quorum, shall not excert any influence of any kind and is not allowed to vote action on a contract or transaction during any board or committee meeeting relevant to the conflict of interest. Such person shall not be present when the vote is taken, unless the vote is by secret ballot. Such person's ineligibility to vote is reflected in the minutes.”
