Governance Explanations

Form 990, Part VI, Line 15B PROCESS TO ESTABLISH COMPENSATION OF OTHER OFFICERS OR KEY EMPLOYEES

The university engages in regular compensation reviews to ensure competitive and equitable pay structures for all employees, including key employees. In january 2024, atsu engaged segal to perform a comprehensive evaluation of compensation ranges, with implementation in july 2025.

Form 990, Part VI, Line 4 Significant changes to organizational documents

In july 2024, atsu's board of trustees approved changing the bylaws to reflect a title change of atsu's ceo from president to chancellor.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The university policy stipulates that the audit team of the board of trustees shall review and approve the irs form 990 annual tax filing prior to submission. For the tax year ending june 30, 2025, this review and approval took place on january 23, 2026. The minutes of this meeting document this review and approval. A complete copy of form 990, including all schedules, was provided to each board of trustee member prior to its submission to the internal revenue service.

Form 990, Part VI, Line 12C Conflict of interest policy

At the time of hire (or election in the case of trustees) and annually thereafter, the chancellor or his/her designee shall provide to the board and to all executive officers and key employees a copy of the conflict of interest policy and the applicable conflict of interest disclosure form and questionnaire, which shall be completed to identify any relationships, positions or circumstances with respect to which it is believed a conflict may arise. Such annual monitoring and review procedures shall be part of the corporate compliance plan. An appropriate report shall be submitted to the audit team concerning any interest to be disclosed. Each member of the board of trustees and all management associates shall disclose fully and frankly any and all actual or potential conflicts or duality of interest or responsibility, whether individual, personal or business, which may exist. If it is determined that there is a conflict of interest with respect to a board member, the conflict shall be reported to the full board, and the affected board member must answer any questions pertaining to the conflict that other board members may have. If a vote is required, the affected board member shall abstain from voting.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

During fiscal year 2023-24, the board of trustees, through the chancellor's evaluation team, oversaw determination of the chancellor's compensation in accordance with board policy governing compensation philosophy and annual performance appraisal of the chancellor. The board engaged an independent compensation consultant, thomas k. Hyatt, pllc, to conduct a compensation analysis in connection with organizational restructuring and review of the chancellor's employment contract. The analysis included review of data from peer institutions of comparable organizations. The chancellor's evaluation team reviewed findings and recommendations and presented them to the full board of trustees, which reviewed and approved the chancellor's compensation and employment contract.

About a.t. Still university established in 1892 by andrew taylor still, do, the founder of osteopathic medicine, a.t. Still university (atsu) began as the nation's first college of osteopathic medicine and has grown into a comprehensive health sciences university with seven schools offering more than 40 health professions programs on campuses in kirksville, missouri; mesa, arizona; santa maria, california; and online. The university's missouri campus colleges/schools include kirksville college of osteopathic medicine (atsu-kcom), college of graduate health studies (atsu-cghs), and missouri school of dentistry al health (atsu-mosdoh). The university's arizona campus schools include arizona school of health sciences (atsu-ashs), arizona school of dentistry al health (atsu-asdoh), and school of osteopathic medicine in arizona (atsu-soma). The university's california campus includes the college for healthy communities (atsu-chc). Student learning is at the heart of atsu, and students and faculty are part of a distinguished heritage emphasizing whole person healthcare. Still university (atsu) - implemented atsu's new organizational structure to include a chancellor overseeing the university system and two regional presidents - one responsible for overseeing missouri locations and another overseeing arizona and california locations. - announced by insight into academia magazine as an award recipient for: 1) five-time, consecutive-year recipient of the 2025 inspiring programs in stem award for atsu's dreamline pathways program (2021-25); 2) 2024 health professions higher education excellence in diversity award for the eighth consecutive year (2017-24); and 3) a.t. Still memorial library as a 2025 library excellence in access and diversity (lead) award for the second year. - hosted a.t. Still research institute's 17th annual interdisciplinary biomedical research symposium with 265 in attendance from across the u.s. Schedule D, Part III, Line 4 Collections of art - description of collections

The collections of the museum of osteopathic medicine include more than 100,000 objects, photographs, documents, and books dating from the early 1800s to the present (bulk 1870-1960). The core of the collection consists of artifacts from a.t. Still's professional and private life, most of them donated by dr. Still's daughter, blanche laughlin, and members of her family. Since the founding of the museum in 1934, other family members, doctors of osteopathic medicine, and museum supporters have donated many additional artifacts that reflect the ongoing history of the osteopathic profession. The research collections of the international center for osteopathic history also include many former holdings of the atsu-kcom library's special collections, for which the museum assumed responsibility in 1997. As a public trust the material is available free of charge for viewing and research by the local, national and international population. Its programs and tours used by the local schools and the public are provided free as an educational service. The museum was accredited by the american alliance of museums in 2022.

The university's endowments are intended to provide sustainable and reliable funding for student scholarships and support of the university's operating budget. Quasi-endowments have been established by both the university's board of trustees and administration. Earnings from the quasi-endowments are used for support of the operating budget and research endeavors. The corpus of the board quasi-endowments may be expended as approved by the board of trustees.
