The by-laws were amended to add the following provision: any action that is required or needs to be taken at a meeting of the board of directors may be taken wihtout a meeting if a majority consent is given, whether in writing, by telephone or email. All such actions will be reported in board meeting minutes or agendas and made part of the community foundation's permanent record. Financial Statement Notes

PART IV, LINE 2B:

The foundation acts as an agent for certain unrelated organizations. The total amount of the funds held on behalf of these organizations has been reflected as a liability on the statement of financial position. On the statement of activities, the foundation reports the gross amount of support, revenue and expenses with the amount raised and expended on behalf of others being shown as a reduction in the gross amounts of support, revenue and expenses.

PART V, LINE 4:

The foundation provides grants and support to nonprofits by investing in innovation, sustainability and capacity building across the spectrum of nonprofit organizations. The foundation also provides leadership on community initiatives that involve charitable giving.

PART X, LINE 2:

The internal revenue service has recognized the foundation as exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. The foundation follows the accounting guidance for accounting for uncertainty in income taxes. The foundation is subject to federal and state income taxes to the extent it has unrelated business income. In accordance with the guidance for uncertainty in income taxes, management has evaluated their material tax positions and determined that there are no income tax effects with respect to its financial statements. The foundation is no longer subject to examination by federal or state authorities for years prior to 2016 nor has the foundation been notified of any impending examination and no examinations are currently in process.
