Governance Explanations

Form 990, Part VI, Section A, Line 2

Those appointees may be related to each other by their employment or board role at the collaborating foundation. Accordingly, the following directors had a business relationship with another director: carol cheney and truman collins have a business relationsip. Carrie hoops and peter koehler have a business relationship. Carrie thompson and kara carlisle have a business relationship. Jessie mcclung and dl richardson have a business relationship. Lisa mensah and vanessa wilkins have a business relationship.

Form 990, Part VI, Section A, Line 7A

Each of the five collaborating foundations is entitled to appoint one or two directors to the foundations for a better oregon board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside cpa firm. The board of directors is given a copy of the form 990, for their review, prior to filing by the organization.

Form 990, Part VI, Section B, Line 12C

Annually, each director, principal officer and member of a committee with governing board delegated powers shall sign a statement which affirms such person has received a copy of the conflicts of interest policy, read and understands the policy, and agreed to comply with the policy.

Form 990, Part VI, Section B, Line 15

The organization's top management official is the executive director. The board approves the salary and negotiates a compensation contract with the executive director. At the beginning of the fiscal year, the executive director develops the annual performance work plan for the organization with input and feedback from the executive committee of the board. The full board approves the organization's work plan and it serves as the basis for the performance expectations and evaluation of the executive director. An evaluation committee, comprised of the board chair and two other members of the board, is responsible for evaluation of the executive director. Prior to the end of the fiscal period, the executive director will write a self-evaluation of her performance that is submitted to the evaluation committee. The evaluation committee provides the self-evaluation to the full board for review and feedback. The self-evaluation and input from the board members is used to complete the formal evaluation of the executive director's performance for the year. Salary increases are considered after the annual review. Utilizing independent regional non-profit and national industry compensation surveys for similar positions in other organizations, the board determines and approves an appropriate compensation level. The board chair shares the formal evaluation and feedback with the executive director. Any changes in compensation level are documented in a letter to the executive director from the board chair. The executive director approves salary and negotiates compensation levels for all other staff. Using the organization's annual performance workplan, staff develop individual work plans that serve as the basis for performance expectations and evaluation of their position. Each year staff complete self-evaluations that are submitted to their supervisor and the executive director who provide input for the formal evalution of their performance. Salary increases are considered after the annual review. Utilizing independent regional non-profit and national industry compensation surveys for similar positions in other organizations, the executive director determines and approves an appropriate compensation level. Changes in compensation level are documented in a letter to the individual staff member from the executive director.
