“The organization is a member corporation. Membership is open to any healthcare provider, health plan, employer, community based organization including governmental agencies and educational institutions, individuals and philanthropic organizations.”

“The corporation shall have a board of directors of at least twelve (12), but not more than twenty-five (25) persons, the exact number to be determined by the corporation. There shall be three (3) directors appointed, respectively, by each of the founding health plans (the "health plans") and at least three (3) directors representing the interests of western new york health care providers, including both hospitals and physicians; at least three (3) directors representing the interest of western new york employers; and at least three (3) directors representing the interests of the western new york community. Each director shall be at least 18 years of age.”

“The organization has its board members annually sign conflict of interest statements providing sufficent information about his or her personal interests/relationships so the organization can 1) determine if any potential or actual conflicts exist and 2) monitor assignments to avoid placing the board member in a position where there is any appearence potential or actual, of a conflict of interest or objectivity. The completed statements are maintained by the organization.”

“On an annual basis, the executive committee evaluates the executive director on his or her performance. The committee is presented with documentation with respect to the compensation of the executive director for review and approval. Such information includes salary and benefit compensation studies by independent sources, written job offers for positions at similar organizations; comparable data from similar sized tax exempt organizations in the community and information obtained from the irs form 990 of similar organizations. Upon research and mutual agreement, the executive committee then makes recommendation for salary and benefits to the full board. Review and approval of the compensation arrangement by the board is documented in the payroll records and files.”

“The organization has an oversight committee that monitors the audit and financial statement process. There has been no change to the oversight process.”

“The organization uses a third party professional employer organization (peo) to administer its human resources, payroll and benefit programs. P2 collaborative is the worksite employer. The peo is responsible for the payment of compensation of all employees, the submission of all payroll tax returns and payment of federal and new york state payroll taxes.”
