Governance Explanations

Form 990, Part VI, Line 1A Material differences in voting rights

The executive committee shall be composed of no more than five persons, and shall have and may exercise all the authority and powers of the board of trustees in the business affairs of the corporation.

Form 990, Part VI, Line 6 Classes of members or stockholders

Tyler county hospital district is the sole member of the tyler county hospital foundation.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

The sole member of the foundation has the ability to elect trustees of the board at each annual meeting. The member also has the ability to reject any nominations to the board.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

Tyler county hospital district, as the sole member of the foundation, may disapprove of the election of any trustee, provided that the member disapproves of such trustee's election within 60 days of the election by the board of trustees. Additionally, only the member may modify or revoke the foundation's organizing documents as well as affect a liquidation or merger.

Form 990 is prepared by an independent accounting firm. A copy is reviewed by the board president and treasurer and also made available to the governing body prior to filing.

The foundation adheres to the conflict of interest policy of its sole member, tyler county hospital district. All activity, including purchases and investments, are reviewed and approved by the foundation board. Members of the board abstain from voting if the potential for a conflict of interest exists.
