“The executive committee shall be composed of the officers of the corporation and the immediate past chairperson. It shall have the duty and authority to act between board meetings in the management of the corporation, and in cases of emergency, and to make recommendations to the board. A member of the board of directors may be appointed by the president to serve on this committee as a member at large. The committee shall be accountable to the board of directors for all interim action taken and will make written report thereof to the board. The executive committee shall have the authority to determine if sufficient cause exists for requesting the resignation of a director and, if so, to make such recommendation to the board of directors for its consideration.”

“On an annual basis, all members of the board of directors, the executive director, and employees with purchasing and/or hiring responsibilities or authority shall inform, in writing, the executive director and the chair of the president of the board of all reportable conflicts. The executive director shall review and approve all forms completed by employees and board members. If a conflict arises during the year, the employee or board member will immediately notify the executive director who will determine appropriate resolution. All real or apparent conflicts of interest shall be disclosed to the executive committee and the executive director. The executive committee shall be responsible for making all decisions concerning resolutions of conflicts involving directors and the executive director; the president of the board shall be responsible for making all decisions concerning resolutions of conflicts involving executive committee members; and the executive director shall be responsible for making all decisions concerning resolutions of conflicts involving employees, subject to the approval of the executive committee. Board members who have a conflict shall abstain from participating in, discussing, or voting on the resolution to the conflict, unless their discussion is requested by the remaining members of the board. Board members with a conflict must abstain from voting and may be removed from their position depending on the conflict.”

“Sky ranch project shield - program delivers culturally affirming evidence-based diversion to divert youth prior to arrest and booking, impacting youth, parents/caregivers, and providers. The goal is to reduce the number of youth with mental illness or co-occurring disorders in the juvenile justice system, increase resiliency skills, and enhance school engagement, and overall well-being. This initiative focuses on all youth ages 11 to 18 in grades 5 to 12 with a priority focus on sioux city community school district, including youth impacted by poverty, low academic performance, and other identified barriers. Sky ranch interventionists provide services at all 3 public high schools and middle schools. This program is funded by a substance abuse and mental health services administration (samhsa) grant.”
