“An annual compensation plan for the organizations ceo is drawn up by the boards executive committee at the beginning of each calendar year and approved as part of the annual budget by the board of directors. Compensation is comprised of base salary, club and car allowance, and an annual incentive bonus based upon organizational goals. Compensation is derived using independent research data on ceos and executive directors or similar organizations on a national basis to maintain overall integrity and competitiveness. Independent research is updated on a regular basis. Documentation regarding the ceos compensation plan is maintained by human resources. A member of the boards executive committee approves all of the ceos expense reports and signs all checks writted to the ceo.”
