“The form 990 is prepared by the director of finance and reviewed by the finance committee. Then the executive committee reviews a draft of the return. Once these reviews are completed, a copy of the 990 is presented to the board of directors for their review prior to the return being filed with the irs.”

“The conflict of interest policy applies to the board of directors, members of iwf committees, members of community review panels, the executive director and other iwf employees, contractors, and volunteers. Iwf monitors compliance with the conflict of interest policy by having each person obtain and sign a statement of compliance and disclose any potential conflict of interest. If there is a potential conflict of interest, the interested person may make a presentation at the board or committee meeting, but after such presentation, she or he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that may result in a conflict of interest. The president of the board is responsible for monitoring compliance.”

“A performance evaluation of the executive director is performed by the executive committee with the compensation determined, then endorsed by the full board of directors. The process of determining compensation includes comparability data and contemporaneous substantiation of the deliberations and final decision. The compensation for the executive director for the year ended december 31, 2016 was subject to this process. There are no other compensated individuals who fit the form 990 definition of officer or key employee.”
