“The executive committee shall consist of the board chair, the chair-elect, the treasurer, the secretary, and the immediate past board chair. The executive director shall be a non-voting member of the executive committee. The executive committee may act on behalf of the corporation in any manner when the board is not in session, reporting to the board at each meeting of its actions. Meetings may be called by the board chair or the executive director. The board may provide by resolution the time and place for the regular meetings or change its date and place of meeting or hold additional regular meetings of the board without other notice than stated in the resolution for such meetings.”

“The form 990 is prepared by an independent accounting firm, reviewed by the finance committee and then submitted to the executive committee for approval. In addition, a full copy is distributed to the board of directors and approved for submission.”

“The conflict of interest policy applies to all board and staff members; it is passed out annually and signed off on by all board members. All business transactions with any potential board member conflicts would go out for a minimum of three bids or be based on an independently established market rate. The members of the board who are not involved in the potential conflict are responsible for making the determination as to whether a conflict does or does not exist. If a conflict is determined to exists, the member in conflict would leave the room for any discussion on the matter in conflict and would abstain from voting on the matter. If the conflict were deemed significant enough by the remaining board members the member in conflict may be asked to resign from the board.”

“The board of directors determines salary for the executive director on an annual basis as recommended by the executive committee. Directors as such shall not receive any stated salaries for their services, but by resolution of the board of directors may be reimbursed for expenses of attendance at each regular or special meeting of the board; provided however, this provision shall not be construed to preclude any director from serving the corporation in any other capacity and receiving compensation therefore. The process includes the use of comparability data and contemporaneous substantiation of the deliberation and decision. This process was last completed in march 2020. Form 990, part vi, section b, line 15b: no other compensated individuals qualify as officers or key employees as defined for form 990.”
