Governance Explanations

Form 990, Page 6, Part VI, Line 3

The organization has an agreement with right way management, llc to manage the property. Such agreement is subject to all pertinent requirements of the corporation's regulatory agreement with hud and has been approved by hud. The agreement provides that right way management, llc will be compensated by monthly fees in an amount equal to 6 percent of total operating income received during the month. The total fees paid and accrued to the management company for the year ended june 30, 2018 were 19,221. The agreement with right way management, llc automatically renews unless notification is made of an intention to terminate the agreement. The organization also paid bookkeeping fees of 3,444 to right way management, llc during the year ended june 30, 2018.

SUCH AGREEMENT IS SUBJECT TO ALL PERTINENT REQUIREMENTS OF THE CORPORATION'S REGULATORY AGREEMENT WITH HUD AND HAS BEEN APPROVED BY HUD. THE AGREEMENT PROVIDES THAT RIGHT WAY MANAGEMENT, LLC WILL BE COMPENSATED BY MONTHLY FEES IN AN AMOUNT EQUAL TO 6 PERCENT OF TOTAL OPERATING INCOME RECEIVED DURING THE MONTH. THE TOTAL FEES PAID AND ACCRUED TO THE MANAGEMENT COMPANY FOR THE YEAR ENDED JUNE 30, 2018 WERE 19,221. THE AGREEMENT WITH RIGHT WAY MANAGEMENT, LLC AUTOMATICALLY RENEWS UNLESS NOTIFICATION IS MADE OF AN INTENTION TO TERMINATE THE AGREEMENT. THE ORGANIZATION ALSO PAID BOOKKEEPING FEES OF 3,444 TO RIGHT WAY MANAGEMENT, LLC DURING THE YEAR ENDED JUNE 30, 2018.
