To combat poverty and promote the general welfare of the residents of the areas served by planning, organizing, and carrying out programs in, but not limited to, education, health and welfare, social and community organizations, services, and facilities, and any other activities to benefit low-income individuals.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

Management staff participate in completing and reviewing the 990 and presenting it to the board of directors for review, question, and comment. The board is provided time to review and ask questions and resolve any issues before a board officer (board president or treasurer) signs the 990 and it is filed.

Form 990, Part VI, Section B, Line 12C

1. Covered persons: the policy applies to all members of the board of directors and all employees of the organization, particularly those in positions to make or influence decisions. 2. For board members, the impact executive committee (composed of disinterested members) determines whether a conflict exists. For employees, the chief executive officer makes the determination. 3. Board member conflicts are reviewed by the executive committee, which informs the full board and may be overridden by board action. In committee settings, if the committee chair has a conflict, another committee member presides over that item. Employee conflicts are reviewed by supervisors in consultation with the ceo. Individuals with a conflict must fully disclose it and are prohibited from participating in deliberations or votes on related matters. Board members may be asked to leave the room during discussions. Employees may not engage in conflicting outside employement, misuse agency resources, or disclose confidential information. Failure to comply may result in disciplinary action, up to and including termination.

Form 990, Part VI, Section B, Line 15

Annually the personnel committee evaluates the compensation of the ceo based on performance and comparability data from similar organizations. The personnel committee makes a recommendation to the full board of directors for the ceo compensation. The board evaluates the recommendation and documents the decision. Compensation for other officers is derived from software which uses market comparability data (payscale) and is approved by the ceo and the board of directors.
