Governance Explanations

Form 990, Page 6, Part VI, Line 11B

A draft of the museum's return is provided to the board of trustees. They are asked to review it and direct questions to the board chairman. Any necessary changes are made and a final version is sent to all board members prior to filing the return.

Form 990, Page 6, Part VI, Line 12C

Upon election to the board of trustees, members receive a copy of the museum's conflict of interest policy. The policy requires each board member to disclose actual or potential conflicts of interest and annually reaffirm his or her understanding of the policy and agreement to comply with it. This annual affirmation is documented through a conflict of interest disclosure form which they sign.

Form 990, Page 6, Part VI, Line 15A

The process for setting the salary of the ceo rests with the executive committee of the board of trustees. The committee reviews the ceo's compensation, keeping written records of its review, which includes comparision of the ceo's salary to that of similar organizations.

Form 990, Page 6, Part VI, Line 15B

The ceo determines the salary of the chief financial officer. The cfo's compensation and compensation of all other employees are reviewed and approved by the ceo.

Form 990, Page 6, Part VI, Line 19

The museum makes its governing documents, conflict of interest policy, and financial statements available to members of the public upon request.

Collections and curatorial services: an important part of the museum's mission is preserving the community's history. The museum houses approximately 170,000 cataloged items in its permanent collection. These items are expertly cared for, are available for research purposes, and many become part of permanent and temporary exhibits or are used to enhance educational programs. Membership services: the museum has approximately 2,300 memberships ranging from individuals to families and businesses. These memberships encompass more than 10,000 people. Members enjoy special benefits such as the first glimpse of a new film or exhibit.

Financial Statement Notes

Schedule D, Page 1, Part III, Line 1A

The museum owns a significant collection of science, history, and art objects that are not capitalized in the statements of financial position. The museum utilizes its collections for public benefit through education, exhibit and research activities. Appropriate environmental conditions and staff are provided for the proper care and management of collections in both exhibit and storage areas. Purchased collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired, or in temporarily or permanently restricted net assets if the assets used to purchase the items are restricted by donors; contributed collection items are excluded from the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as non-operating revenue and increases in the appropriate net asset classes. All works of art, historical treasures and library collections are held for public exhibition, education, or research; are protected, kept unencumbered, cared for, and preserved; and are subject to strict organizational policies governing their use. The value of the museum's permanent collection is not subject to reasonable estimation.

Schedule D, Page 2, Part III, Line 4

The museum collects objects and natural science specimens to preserve the region's natural and human history and provide education and enriching experiences through interpretive exhibits and museum programming. The collections provide insight into the past, present and future experiences of the people it serves. The museum's collection is organized into the broad categories of natural science, regional history, anthropology and archives.

Schedule D, Page 3, Part X

The museum evaluates the tax benefits of a tax position using the "more likely than not" threshold. As of june 30, 2017, management is not aware of any uncertain tax positions and related tax benefits which would be material to the museum's financial statements. The museum files u.s. Federal and state information returns for which fiscal years subsequent to 2013 are subject to examination by taxing authorities.
