Governance Explanations

Form 990, Page 6, Part VI, Line 6

Elmcrest country club has two types of memberships, equity and non-equity. All equity members are eligible to vote in general membership elections. An equity member or their spouse/significant other is eligible to serve on the board of directors. These members are billed to purchase their equity. All members with the exception of honorary & special are equity members. These membership categories do not purchase equity and do not have voting rights. Additionally, these members may not serve on the board of directors in a voting capacity, but they may serve on the board in an advisory manner.

Per the by-laws of elmcrest country club, champion equity board members elect other equity members to the elmcrest country club board of directors. The annual meeting is held during the first calendar quarter of each year.

Form 990, Page 6, Part VI, Line 7B

The by-laws of elmcrest country club require an annual meeting of equity members be held in the first calendar quarter of each year. Non-equity members may attend the meeting, but do not have voting rights.

Form 990, Page 6, Part VI, Line 11B

The form 990 is presented to the board of directors and approved prior to its filing. The form 990 is signed annually by the president or treasurer. Each year a copy of the filed form 990 is retained by the coo for inspection and review by any member at their request.

The conflict policy is provided to each board member annually. The coo monitors the day to day business for possible conflicts. Any decision made cannot benefit any one group of individuals that are a part of the decision making process.

Form 990, Page 6, Part VI, Line 15A

Elmcrest country club utilizes a compensation committee to determine the compensation of the coo. The compensation committee is chaired by the president of the board of directors. Other committee members include board members and other club members with a compensation background. The compensation committee uses performance, economy, industry standards and averages to assist in determining the coo's proposed compensation. The compensation proposal is presented to the executive committee for approval.

The committee uses the same process for other key employees of the organization. Additionally, the compensation committee confers with the coo to determine the recommended levels of compensation for other key employees. Conclusions of all decisions are documented and maintained in the employees' personnel file.
