The organization has three memebership classes: producer members - any individual, firm or corporation that crushes, markets and sells any product that they have extracted from a limestone deposit. Affiliate members - any individual, firm, or coporation that markets, and sells in iowa, any construction aggregate product they have extracted from a natural deposit, other than a limestone deposit. Manufacturer & supplier members - any individual, firm or corporation, other than a producer or affiliate member, engaged in the manufacturing or selling of equipment, materials, and supplies or performing of services to the crushed limestone and affiliated construction aggregate industry in iowa.

The board of directors are elected by the producer members of the organization at an annual meeting.

The executive director is presented with a copy of the form 990 for review, any changes are made, and then a copy is presented to the board of directors to review before it is filed. Approval of the form 990 is recorded in the minutes.

The policy instructs the board members to disclose any conflicts or potential conflicts to the president of the association. The salary of the executive director is reviewed and approved by the board of directors, who are independent for compensation purposes. The board uses data from comparable nonprofit organizations, as well as knowledge gained by board members from serving on boards of other comparable entities to determine the compensation. Schedule D, Page 3, Part X

The ilpa is exempt from federal and state income tax under section 501(c)(6) of the internal revenue code. However, the ilpa is subject to federal and iowa corporate income taxes on its unrelated business income generated from activities not specifically related to its tax-exempt purpose. The ilpa had no income tax expense for the years ended june 30, 2023 and 2022. Management is unaware of any uncertain income tax positions as of june 30, 2023 and 2022. Interest and penalties associated with income tax matters would be presented as components of income tax expense. There were no interest or penalty charges during 2023 or 2022.
