Governance Explanations

Form 990, Part VI, Section A, Line 6

Line 6 explanation - members pay $75/annually or $8/monthly for access to playwriting tools and resources.

Form 990, Part VI, Section B, Line 11B

Line 11b explanation - the finance committee reviews the 990 and recommends approval of the filing to the executive committee. The executive committee reviews and discusses the filing, and upon approval sends it on to the full board of directors for review and formal approval. The full board of directors approves the official filing of the form at a meeting of the board.

Form 990, Part VI, Section B, Line 12C

Key employees need to obtain approval from the executive committee for outside consulting activities; the producing artistic director and managing director monitor the decisions and transactions relative to conflicts and raise them with the executive committee when any concern arises. Periodically the organization obtains multiple bids from vendors for which conflicts may arise to confirm that the rates for in-kind or purchased work is competitive.

Form 990, Part VI, Section B, Line 15

The board of directors approved a compensation philosophy for playwrights' center staff that utilizes local and national salary survey data to establish comparable market rates and set equitable compensation levels. The compensation philosophy will be used to guide annual compensation decisions and will be updated every other year as new survey data becomes available.

Form 990, Part VI, Section C, Line 19

Governing documents and conflict of interest policy are made available upon request. Annual financial statements are published in the center's annual report and on guidestar, and are registered with the charity review council.

Financial Statement Notes

PART X, LINE 2:

Income tax the playwrights' center has a tax-exempt status under section 501(c)(3) of the internal revenue code and has adopted accounting for uncertainty in income taxes, asc 740-10. The organizations policy is to evaluate uncertain tax positions, at least annually, for the potential for income tax exposure from unrelated business income or from loss of nonprofit status. The organization continues to operate consistent with its original exemption application and each year takes the necessary actions to maintain its exempt status. It has been classified as an organization that is not a private foundation under the internal revenue code and charitable contributions by donors are tax deductible. In compliance with its exempt status, the organization annually files a return of organization exempt from income tax (form 990). The returns for the years ending june 30, 2010 and later remain subject to examination by the internal revenue service.
