“An executive committee, comprised of the officers of the board, the ex-officio members, and four members-at-large has and exercises the authority of the board in the management of the business, property, and affairs of the corporation in the intervals between meetings of the board but subject at all times to the control and direction of the board. The members-at-large of the executive committee shall be elected by the board of directors at the same time as the election of officers.”

The abbot of saint john's abbey and the president of st. John's university are also given voting membership in the institute's board of directors.”

“All board members received an electronic copy of the 990 draft prior to its filing, once approved by management. Board members were asked to approve or disapprove the draft. Upon approval, the 990 was filed.”

“Annually board members are asked to report on a conflict of interest form any relationships that may be cause for conflict of interest. Should a member report a conflict, it is reviewed by the executive committee and concerns are discussed. Persons with conflicts are not allowed to vote on or be present for the board deliberations on matters for which they have a conflict of interests. Any decisions involving a member with a conflict of interests are documented in the board meeting minutes. All board members are asked to complete and sign this form.”

As leased employees, compensation falls under their jurisdiction. However, the executive committee of the collegeville institute of ecumenical and cultural research can make additional compensation recommendations. The last review was performed in 2021.”
