Mother of mercy has a contracted obligation with premier healthcare management to assist with management oversight. Brian voigt and fred strzyk are both contracted employees of premier healthcare management (paid to tf management) assists with daily operations and perform management duties for mother of mercy. There were additional consulting and administrative services included within the contract beyond brian and fred. The total amount paid for calendar year 2023 was $837,208.

Form 990, Part VI, Section A, Line 6

The organization has 5 individuals that serve as members of the corporation. The members are the bishop of the diocese of st. Cloud, mn, the vicar general of the diocese, the pastor of the church of the seven dolors in albany, mn, and two lay people selected by unanimous vote of the three religious members.

The members of the corporation appoint the board of directors of the organization and remove any member therefrom, with or without cause.

The board of directors makes decisions that the members of the corporation then have the responsibility for: approve a merger or dissolution of the corporation; approve the acquisition, sale, lease, exchange, mortgage, encumbrance, or other disposition of the assets of the corporation within the limits set by current church legislation; amend the articles of incorporation of the corporation; and make and amend bylaws of the corporation.

The organization has a conflict of interest policy that is applied when the organization is in the process of entering into a transaction or contract. Annually a conflict of interest statement is filled out by the board members, it is reviewed when these transactions occur. In connection with any actual or possible conflicts of interest, an interested person shall have a duty to disclose the existence of his or her financial interest and all related material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all related material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board, officer or committee members shall decide if a conflict exists. After interest is determined, the interested person has the opportunity to make a short presentation at the board meeting. The board will appoint a disinterested person or group to explore alternatives to avoid any conflict. If there is no option for avoiding conflict, the board shall determine by majority vote if the transaction should be entered into. The interested person shall be removed from the voting process. The organization also has a policy for employees. The conflict of interest policy is initially monitored by the director of licensures and training during an employee's orientation. The compliance officer then annually monitors the policy during the annual benefits staff meeting. If a conflict of interest arises, it is investigated by the compliance officer, and if deemed a conflict, the employee must cease/divest of that conflict or be terminated.

The organization follows the senior nursing facility compensation guide to determine compensation for the ceo and top management annually. The board of directors reviews the annual performance evaluation and salary review for final approval of compensation.
