Governance Explanations

Form 990, Part VI, Section A, Line 1A

Pofm's board of directors has an executive board composed of the president, vice president, secretary, treasurer, and park representative. The property, funds, affairs, and business of the corporation shall be under the general authority of the executive board. The president may delegate their duties to the executive board and the executive board has the authority to act on behalf of the governing body.

The federation's members include minneapolis police officers and minneapolis park police officers.

Police officers through lieutenants vote on contract issues and board member elections.

Form 990, Part VI, Section B, Line 12C

Annually, each director and officer of the federation's executive board shall sign a certification that he or she has received and reviewed the conflict of interest policy and has complied fully with its requirements during the preceding calendar year, or he or she shall disclose in the certificate the details of the incidents where the policy was violated. Individuals with potential conflicts must disclose in writing the nature of the conflict to the executive board who shall review and determine if an actual conflict exists. The conflicted individual may not participate in the discussion nor vote on any matter under consideration for approval by the executive board involving the federation's business relationship with such business organization. Proceedings related to conflicts of interest are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15A

Compensation of pofm board members is included in pofm bylaw 28: the president shall be paid 30% of the total monthly compensation of a top grade patrol officer for the city of minneapolis; the secretary and the treasurer shall be paid 15% of the total monthly compensation of a top grade patrol officer; the vice-president shall be paid 15% of the total monthly compensation of a top grade patrol officer; the directors and park representative shall be paid 7% of the total monthly compensation of a top grade patrol officer. If a director is assigned to the federation on a fulltime basis they shall be paid 10% of the total monthly compensation of a top grade patrol officer. New labor agreement was approved in march 2022 for jan 1, 2020 december 31, 2022. The process described here was last completed in 2022.
