Governance Explanations

Form 990, Part VI, Section A, Line 6

Members of the organization are made up of consumers and producers in the horticulture industry. Members are required to pay annual dues.

Form 990, Part VI, Section A, Line 7A

The organization elects its governing board by e-mailing and mailing ballots to voting members. The board development committee of the association controls the process. The ballots are counted by board development committee members at the annual meeting of the association and the results are presented at that time.

Form 990, Part VI, Section A, Line 7B

All decisions of the governing body are voted upon at regular board meetings.

Form 990, Part VI, Section B, Line 11B

The organization does not currently have a policy in place to review the form 990.

Form 990, Part VI, Section B, Line 12C

Twice annually, at the summer budget meeting in june, and again at the audit review in december, the executive director reviews with the board of directors the association's code of ethics policy including duty of care, confidentiality, and conflict of interest. Officers, directors and employees are required at this time to disclose any interests that could rise to conflicts.

Form 990, Part VI, Section B, Line 15

Annual salary changes are approved by the board of directors and are calculated using information available for similar associations and based on current economic conditions.

Form 990, Part VI, Section C, Line 19

All documents are made available upon request.
