“The trust fund consists of the members of the board of trustees of the carpenter's joint apprenticeship & training program (the fund), who are elected in accordance with the fund's bylaws.”

“The form 990 is prepared by the fund's public accounting firm based on information provided by the fund. Once a draft of the filing is available, the form 990 will be reviewed in conjunction with review of annual audit by the board of trustees.”

“In order to avoid actual or apparent conflicts of interest, the fund has a conflict of interest policy. The policy cover the members of the board of trustees. The trustees are responsible for monitoring and communicating any potential conflicts of interest to the chairman and secretary of the board of trustees. The chairman and secretary, in consultation with fund counsel and the reporting trustee, will work to resolve any potential or actual conflicts of interest in accordance with the provisions of the conflict of interest policy and federal law. If a conflict of interest exists, the trustee's recusal from deliberating and voting upon the matter under which the conflict arises shall be sufficient to resolve that conflict appropriately. If a conflict of interest arises, a report of all steps taken to resolve the conflict will be prepared and presented to the entire board of trustees, and shall then be maintained in the fund's permanent files. The trustees are required to sign an annual certification of compliance with the conflict of interest policy. The fund is currently in the process of implementing a records retention and destruction policy.”

“Compensation for the executive director and assistant directors is set by the board of trustees. The board reviews industry standards when setting base compensation amounts. Compensation adjustment are completed annually based off of union contracts, which are set through negotiations. The board of trustees approves the annual compensation through review of the annual budget.”

“The fund makes its governing documents and financial statements available to the fund participants at the fund office. The fund does not make its documents available to the public.”
