An interested person shall have the duty to disclose the existence of a financial interest and all related material facts to the directors and committee members considering the proposed transactions or arrangement. After disclosure of the financial interest and discussion of all related material facts, the interested person shall leave the board or committee meeting. The remaining board or committee members shall decide if a conflict of interest exists. All proceedings related to conflicts of interest are documented in the meeting minutes. Board members are informed of the policies annually and asked to sign a statement to that effect.”
