“Carol macdonald at savage services, llc provides administrative support, leadership and continuity, partnering with district leaders to maintain a positive community image and help the district continue evolving as a progressive organization promoting rotary goals, local and international programs, the rotary foundation, and providing quality service to the rotary clubs of district 5950. Savage services, llc receives $2,400/month in compensation. Total compensation received was $14,400.”

“The organization consists of members, which are comprised of and limited to all rotary clubs designated to be in the rotary district 5950.”

“The management and direction of the business and affairs of this corporation shall be vested in a board of directors. The directors of the district corporation shall include the current district governor whom shall serve as the chair of the board, the district governor-elect, and the most recent past district governor who served in that district, and such other rotarians, if any, as may be determined by the districts, with the requirement that directors and officers of the district corporation shall be limited to rotarians who are members of clubs in the district.”

“There are currently 63 member clubs in the organization and each member club sends one or more delegates, depending on membership of the member club, to the annual meeting. The delegate(s), appointed by each member club president, are allowed to vote on the election of the district governor-nominee; the election of the member of the nominating committee for rotary international director-nominee; the composition and terms of reference of the nominating committee for district governor-nominee; the election of the district's representative and alternate representative to the council on legislation; and the decision as to the amount of the district dues.”

“The organization does not have any committees that have authority to act on behalf of the governing body.”

“The form 990 is prepared by the organizations public accounting firm. Once a draft is available, the finance committee reviews the form before it is presented to the board of directors prior to filing.”

“The conflict of interest policy covers any director, officer or employee who has an interest in a contract or transaction that presents a conflict of interest for the corporation. The director, officer or employee shall make a prompt and full disclosure of the contract or transaction and it must be brought in front of the board of directors or committee for authorization, approval or ratification prior to the contract or transaction being acted upon. If a conflict is deemed to exist, such person shall not vote on, nor use his or her personal influence on, nor participate in the discussions and deliberations in respect to such contract or transaction. Minutes of the meeting must be kept and shall reflect the disclosure made, the votes thereon and abstention from voting and participation.”

All governing documents including any conflict of interest policies and procedure must be consistent with the rotary international code of policies.”
