Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is composed of the president, vice-president, secretary, and treasurer of the foundation and one or more other members appointed by the board of directors. Except for the power to amend the articles of incorporation and the bylaws, the executive committee shall have all of the powers and authority of the board of directors in the management of the property, business and affairs of the foundation in the intervals between meetings of the board of directors, subject always to the direction and control of the board of directors.

The foundation has two classes of members: the catholic community foundation member and the popehn members. The catholic community foundation member is the catholic community foundation of minnesota. The popehn members consist of no less than one member and no more than seven members.

The catholic community foundation of minnesota has the power to appoint and remove certain directors.

With the exception of appointing directors, any action taken by the members requires the approval of the catholic community foundation of minnesota and the approval of a majority of the appointed popehn members.

The form 990 was first reviewed in detail and approved by finance staff of the supported organization. The full board of directors is provided a copy of the form 990 prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Each individual covered by the organization's conflict of interest policy is required to complete an annual disclosure form identifying relationships, positions or circumstances they are involved in that might give rise to a conflict of interest. The policy is reviewed by the board of directors once every three years or more frequently if needed. Any changes in the policy will be communicated immediately to all responsible people. If an individual has a potential conflict, the relationship and material facts are disclosed to the board or committee for determination. Conflicted individuals may not participate in any discussion or vote on the transaction and are not counted for determining the presence of a quorum. All proceedings related to conflicts of interest are noted in the meeting minutes. Covered individuals that are not members of the board of directors or a committee thereof who have a potential conflict of interest with respect to a contract or transaction are required to disclose the conflict to the board chair or the chair's designee who will determine if a conflict exists. The conflicted individual is required to refrain from any action that may affect the organization's participation in the contract or transaction.

The foundation's directors and officers are not employees of the filing organization. The compensation reported in part vii, columns (e) and (f) were paid to anne cullen miller, kelly webster, and helen twomey for services rendered to the related organization, the catholic community foundation of minnesota. None of these individuals received compensation for serving on the board of the arthur j. Popehn family foundation.

Financial Statement Notes

PART X, LINE 2:

The foundation is a tax exempt organization under section 501(c)(3) of the internal revenue code and only unrelated business income is subject to federal and state income tax. The foundation is a non-private foundation and contributions to the foundation qualify as a charitable tax deduction by the contributor. The foundation follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the foundation due to the implementation of this standard. The foundation's tax returns are subject to review and examination by federal and state authorities. The tax returns for the years 2011 through 2013 are open to examination by federal and state authorities.
