“The Executive Committee shall be presided over by the chair-person of the board and shall be comprised of the chair-person of standing committees with up to 3 ad-hoc seats filled by other directors. The Executive Committee reserves the right to appoint board members to serve on a specific standing committee according to committee need and in light of the unique skill set of each board member. The Executive Committee shall be responsible for the following: 1) Establish the dates of the CCDA board meetings 2) Review the board meeting agenda 3) Meet regularly between meetings of the board for updates and reviews 4) Make time-sensitive decisions when necessary or in emergency situations at the direction of the full board of directors 5) Consider sensitive issues that impact the organization (ie, personnel issues, personal matters pertaining to staff or board members, etc.) 6) Act as a liason to the chief executive 7) Help develop a strategic plan 8) Assume the lead in the search for a new chief executive or delegate the responsibility to a task force”

“The Form 990 is prepared by an independent CPA firm and reviewed in detail by management and presented to the Finance Committee before filing. The Finance Committee, led by the Board Treasurer, is responsible for financial oversight of the organization. The board also receives a copy of the Form 990 before filing with the IRS.”

“The conflict of interest policy is provided to each board member at the annual meeting. Members and officers must sign a statement acknowledging they've received, read, understand, and agree to comply with the policy. The statements are reviewed by the CEO. If new conflicts arise, members must promptly disclose. If a true conflict exists (majority vote by board), that member would be precluded from discussion and voting on the matter. Violations of the policy result in appropriate disciplinary or corrective action from the governing board.”

“Compensation for the President and CEO is decided by the board of directors. The board is independent, uses comparable market data in the determination process, and records its deliberation and decision in the board minutes.”

“The organization's governing documents, conflict of interest policy, and financial statements are available upon request.”

“In accordance with the principles of FASB ASU 2016-14 (ASC 958), the organization has implemented required changes to its audited financial statements for the period ended 12/31/2018. To date, Form 990 and its associated schedules have not been updated to reflect changes made by this standard. Thus, we have reported the revised net asset categories from the audited financial statements as follows on Form 990, Part X, Lines 27-29: Line 27 - Net assets without donor restrictions -$156,948 Line 29 - Net assets with donor restrictions $453,839 Total net assets $296,891”

“The organization's finance committee assumes responsibility for oversight of the audit of its financial statements and selection of its independent accountant. This process has not changed since the prior year.”
