Governance Explanations

Form 990, Part VI, Section A, Line 4

The organizational bylaws were amended as of november 24, 2014 as follows: 1) the term of the directors will now coincide with the organization's fiscal year instead of october of every year. 2) officer terms will now be for one year instead of two. 3) special meeting notices have been reduced from two days to 36-48 hours. 4) the immediate past chair position was eliminated. 5) all committees have been eliminated exept for finance and quality assurance, with a special committee to be appointed for ceo selection and hiring.

The finance committee reviews the form 990 and presents it to the board of directors with a recommendation for approval before it is submitted to the irs.

The conflict of interest policy is reviewed annually by responsible persons and each responsible person must annually complete a disclosure form identifying any possible conflicts of interest. The conflict of interest statements are reviewed and updated at the annual meeting each year.

The board of directors of people's health center sets the compensation for the executive director and other key employees. They review an annual salary survey conducted by the iowa/nebraska primary care association, which is a salary range survey completed by eighteen community health centers. The board also reviews the salary survey for nonprofit organizations in the surrounding areas produced by the nonprofit association of the midlands. Decisions for compensation are based on a person's experience, skills and educational level. The salaries are approved with a majority vote of the board of directors.

Financial Statement Notes

PART X, LINE 2:

The health center is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code and is exempt from federal income taxes on related income pursuant to section 501(a) of the code. The health center accounts for uncertainties in accounting for income tax assets and liabilities using guidance included in fasb asc 740, income taxes. The health center recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. At december 31, 2014 and 2013, the health center had no uncertain tax positions. With few exceptions, the health center is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2011.
