Governance Explanations

Form 990, Part VI, Section A, Line 2

A company owned by the spouse of our board chair is an independent contractor for amazeworks. Our board chair is priya narula, and her spouse vikas narula, owns the keyhubs company, which provides the software for our classroom dynamics program.

Form 990, Part VI, Section B, Line 11B

The board of directors is provided with a copy prior to filing.

Form 990, Part VI, Section B, Line 12C

We do have a conflict of interest policy that every board member signs at the beginning of the year. It asks them to disclose any potential conflicts of interest.

Form 990, Part VI, Section B, Line 15

In fall of 2024, the executive director did a salary comparison using the 2023 minnesota nonprofits salary and benefits survey from the minnesota council of nonprofits. They compared our current salaries for their position and the director and manager positions to organizations in our budget range ($500,000 to $999,999), twin cities nonprofits, and education-related nonprofits and the average of all three categories. Then, they brought it to the board as part of their 2024 budget review process. They discussed and then voted to approve the budget.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code therefore, the statements do not include a provision for income taxes but is subject to income tax on net unrelated business income. The organization reviews income tax positions taken or expected to be taken in income tax returns to determine if there are any income tax uncertainties. This includes positions that the entity is exempt from income taxes or not subject to income taxes on unrelated business income. The organization recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities, based on the technical merits of the positions. The organization has identified no income tax uncertainties. The organization files information returns as a tax-exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the irs.
