Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee. Subject to the approval of the board of directors, the chair may appoint an executive committee comprised of the officers of the corporation and other members of the board of directors, with a total membership of not more than ten (10) committee members. The executive committee shall hold regular meetings and shall be authorized by the board of directors to exercise the powers of the board in the management of the corporation between meetings of the board.

Form 990, Part VI, Section B, Line 11B

The board of directors reviews the 990 before approval.

Form 990, Part VI, Section B, Line 12C

The board of directors is required to sign a conflict-of-interest statement upon joining the board. The board of directors is also required to proactively declare any potential conflicts of interest per the organization's bylaws.

Form 990, Part VI, Section B, Line 15

Women winning's executive director partners with the organization's governing body, the board of directors executive committee, for employee compensation review and potential changes. Additionally, the organization references the minnesota council of nonprofits salary and benefits survey to understand market rates. Annually, the executive director reviews individual employee performance and makes recommendations for compensation changes. The executive committee reviews the executive director's performance and makes recommendations for compensation changes. The full board of directors also reviews the forthcoming annual budget, which includes the aforementioned compensation changes. The board of directors must review, discuss, and vote on the annual budget, including its subcomponents like administrative expenses. The process described here was last completed in 2024.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon request.
