“The conflict of interest policy covers senior leaders, directors, officers and board committee members. The policy is signed annually and reviewed by CEO for conflicts. Any conflicts are brought to the Board for discussion. If a Board Member has a potential conflict, they must abstain from voting.”

The Executive Committee has a process in place for determining compensation for the CEO, CFO and all senior leaders based on results of a compensation study, approval and documentation by the Board/committee members and the use of independent consultants every 3 years. “Winona Health Foundation endowments have multiple purposes; all of which deliver on the mission to inspire, recognize and empower the caregiver in all of us. The largest fund is the Ben & Adith Miller Patient Care Fund that pays the medical bills of Winona Health patients/residents who are under or uninsured. Other funds include the Senior Services Fund which is made up of the Glenn Fund for home care/hospice licensure and training, the Hospice Fund for general hospice services, the Alzheimer Fund for Alzheimer-related projects, and funds for unrestricted use by Winona Senior Services. There are also funds for general operating expenses.”
“The Foundation believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and, as such, does not have any uncertain tax positions that are material to the financial statements. The Foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense, if such interest and penalties are incurred.”

| IRS990/Desc | 0 | The Winona Health Foundation assists Winona Health in achieving its mission to inspire, recognize, and empower the caregiver in all of us. The geographic scope is the City of Winona and surrounding communities in Minnesota and Wisconsin. The Foundation makes grants and contributions to Winona Health's nonprofit affiliates including Winona Health Services and Winona Senior Services. Winona Health Services includes a 49-bed primary care hospital that also includes an emergency department, provides inpatient mental health services, rehabilitative and dialysis services, outpatient diagnostics and ambulatory surgery. (Continued on Schedule O)It also includes primary care clinics in Winona and Rushford, Minnesota, and specialty clinics including sports and orthopedic specialists, eye care center, pain management center, psychiatric and counseling services, occupational health, durable medical equipment, retail pharmacy and urgent care clinic. Winona Senior Services includes Lake Winona Manor, a 80-bed skilled nursing facility, Adith Miller and Roger Metz Manors, 20-bed assisted living facilities for memory care, Watkins Manor an assisted living facility for 53 seniors, and hospice services.In the mid-80s, Benjamin A. Miller, a former Winona-area businessman and philanthropist, established the Ben & Adith Miller Patient Care Fund in the Winona Health Foundation in honor of his wife, Adith. The Ben & Adith Miller Patient Care Fund is a unique community resource that helps individuals and families pay for unexpected medical expenses incurred while seeking care at Winona Health. In FY2024, the fund helped 293 individuals pay more than $450,000 in medical bills. |
