“During fiscal 2023, sholom community alliance modernized its governance by eliminating its member-based structure. Previously, life and general members elected the board; now, the board is self-electing and fully responsible for governance. The board size was adjusted to 15-23 elected directors, with additional appointed seats from key partner organizations. Directors now serve three-year terms with a two-term limit, and elections can be conducted by ballot. The bylaws introduce formal recognition fo the executive committee and clairfy officer roles, including staggered two-year terms for the president and treasurer. Remote meetings, electronic communications, and digital signatures are now explicity permitted. Financial oversight is strengthened with dual-signature requirements for checks and mandatory annual audits. Legal protections are expanded through detailed indemification and insurance provisions. Amendments to the bylaws now require only board approval, maintaining the 75% vote threshold but streamlining the process by removing member involvement.”
