Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee fulfills the role of the board between meetings of the board of directors without power to make decisions for vine requiring action by the board. The executive committee includes elected officers and the past chair of the board. The committee establishes an annual plan of work for the board.

Form 990, Part VI, Section B, Line 11B

The 990 is presented to both the executive board and the full board before it is filed. After it has been approved, it is filed with the appropriate governing agencies. The presentation to the boards is done after the 990 has been received from the accounting firm.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all directors, officers, and managers of the organization. Potential conflicts of interest are reviewed by the board and the board determines if a conflict exists. If an individual does have a conflict of interest with a transaction, then the individual is excluded from the discussion and approval of the transaction. Any proceedings resulting from conflicts of interest are documented in the board minutes. The organization monitors compliance with the conflict of interest policy on an on-going basis. Any instances of non-compliance are dealt with on a case-by-case basis.

The ceo's compensation is determined by the executive committee on an annual basis. This is also approved by the board of directors. The committee uses comparability data from the mn council of nonprofits (mcn) and market rates. Other key employee compensation is set by the ceo using comparability date from mcn and market rates with input and approval from the executive committee. THE VACC OFFERS AGING ADULTS OPPORTUNITIES TO IMPROVE THEIR PHYSICAL HEALTH AND WELLNESS, LEARN NEW SKILLS, SOCIALIZE WITH PEERS, AND ACCESS ADDITIONAL SERVICES. MEMBERS PARTICIPATE IN A WIDE VARIETY OF GROUP EXERCISE, WATER EXERCISE, AND YOGA CLASSES; FITNESS CENTER WORKOUTS, SOCIAL ACTIVITIES, ARTS PROGRAMMING, EDUCATIONAL LECTURES, AND EVIDENCE-BASED HEALTH CLASSES SUCH AS DIABETES PREVENTION PROGRAM AND WALK WITH EASE. THE VACC INCLUDES A STATE-OF-THE-ART FITNESS CENTER, INDOOR WALKING TRACK, GROUP EXERCISE AND PROGRAM ROOMS, AND A WARM WATER EXERCISE POOL. IN FY25, THE VACC HAD APPROXIMATELY 2,407 MEMBERS, LOGGING OVER 125,263 IN-PERSON AND 3,650 VIRTUAL PHYSICAL FITNESS ACTIVITIES.
