The cpa typically presents the information at a board meeting or other arranged meeting and the board is given the opportunity to ask quiestions of the cpa, president & ceo, and executive committee. The board votes on whether or not to accept the 990 as presented or with changes.”

“All board of directors were given, both digitally and on paper, a copy of the conflict of interest policy and a "potential conflict report" that they self-monitored. If there was a conflict of interest on a vote, member involved would abstain.”
