Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall, at a minimum, consist of the four officers, the chairs of each standing committee, and the most recent past board chair. The executive committee is subject to the direction and authority of the full board of directors and shall have all the powers and authority of the board during the intervals between board meetings, except for the power to amend the articles of incorporation or the bylaws, elect or remove directors, or hire or dismiss the executive director. All actions and recommendations of the executive committee shall be reported to the full board no later than the next meeting of the full board.

The board reviews and approves the form 990 prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Ei provides copies of the policy to all incoming board members and reviews the policy with them. Ei also monitors all situations where there is a possibility of a conflict of interest using the policy as a guide if there is a situation which might constitute a conflict of interest. After disclosure of the relationship or material financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon, which is documented in the board minutes. The remaining board or committee members shall decide whether a conflict of interest exists. An interested person may make a presentation at the board or committee meeting at which the transaction will be discussed, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. An interested person shall not otherwise attempt to exert his or her potential influence with respect to the matter, either at or outside the meeting. After exercising due diligence, the board or committee shall determine whether environmental initiative can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in environmental initiative's best interest and for its own benefit and whether the transaction is fair and reasonable to environmental initiative, and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination.

Form 990, Part VI, Section B, Line 15A

The board determines compensation for the executive director utilizing the minnesota council of nonprofits compensation survey to determine the benchmark salary for an executive director of a similar sized nonprofit. Salaries are benchmarked to start at the 40th percentile and then progress to the 75th percentile over five years in the relevant section of similar sized nonprofits. The executive director determines compensation for the chief financial officer (cfo) and the chief impact officer (cio) utilizing the minnesota council of nonprofits compensation survey to determine the benchmark salary for a cfo and cio of a similar sized nonprofit. Salaries are benchmarked to start at the 40th percentile and then progress to the 75th percentile over five years in the relevant section of similar sized nonprofits.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has determined that ei is exempt from federal income tax under section 501(c)(3) of the internal revenue code. Ei is also exempt from state income taxes. However, any unrelated income may be subject to taxation. The organization follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken on a tax return that are not certain to be realized. No liability has been recognized by the organization for uncertain tax positions as of december 31, 2019 and 2018.
