“The CGMC by motion, or the President alone may establish such standing or special committees as are deemed necessary for the proper conduct of the affairs of the organization. Standing or special committees may be established at any meeting. The members of these standing or special committees shall be appointed by the President. The members of the committee may elect their own chairperson, unless the chair is designated by the President. The standing or special committees may meet from time to time upon their own motion and shall report any action taken by the committee to the Board of Directors.”

“Representatives of the member cities elect the officers for the organization at the annual membership meeting in August of each fiscal year. Member cities must be located in "Greater Minnesota." The President appoints the board of directors in September.”

“The Treasurer reviews a draft of the Form 990. After this review is complete the Form 990 was presented to the board electronically prior to the Form 990 being filed.”

“The conflict of interest policy covers board members, officers and members of a committee with governing board delegated powers. A request is made annually for all board members to disclose any potential conflict of interest. The board makes a determination of whether there is a conflict of interest and if so, implements the procedure for evaluating the issue or transaction involved. The board member, officer, or committee member with the conflict must refrain from voting.”
