The institute's 990 return has a comprehensive review process that is followed before it is presented to the governing body of the institute. The review process includes a layered review by the tax department of group health plan, inc. (ghi), the management team of the institute, ghi's internal legal department and the institute's outside independent accountants. Each one of those areas has an opportunity to review, ask questions and make comments back to the tax department of ghi before the form 990 is completed and presented to the governing body of the institute. The institute makes available to the governing body (board of directors) a copy of the 990 for review and comment prior to the filing of the 990 return. This copy is provided in a pre-meeting packet, and is an agenda item at a meeting of the full board of directors. This process is noted and documented in the written minutes of the meeting.

The institute board monitors potential conflicts of interest on the part of its board members, principal officers, members of committees with board delegated powers, and key employees ("covered persons") by maintaining a conflict of interest policy. Under the policy, covered persons annually are provided with a copy of the policy and asked to complete a questionnaire identifying any potential conflicts of interests. The legal department of healthpartners reviews the questionnaire responses and develops a report detailing any potentially material conflicts for the president and chair of the board. A verbal summary is also given to the full board or appropriate committee ending with a reminder to covered persons of the policy's mandate that each person is obligated to disclose any new potential conflicts as they may arise throughout the year. Board agendas and executive decisions are monitored in relation to this policy.

Healthpartners institute (institute) has no employees and does not pay compensation. All officer and key employees are paid by group health inc (ghi) or by park nicollet health services (pnhs) related organizations. Any compensation is determined solely by the related organizations. Therefore, part vi, section b, question 15 is not applicable to the institute.

I. Corporate structure, purpose, governance healthpartners institute (the institute) is a minnesota nonprofit corporation recognized as exempt from federal income tax under internal revenue code ("irc") section 501(c)(3). In 2016, pursuant to a plan of merger and articles of merger, park nicollet institute, a minnesota nonprofit corporation, and 501(c)(3) tax exempt entity, merged into healthpartners research & education (dba healthpartners institute for education and research), with healthpartners research & education as the surviving corporation. Concurrent with the merger, which was effective january 1, 2016, healthpartners institute for education & research was renamed healthpartners institute. The institute is part of the healthpartners organization "healthpartners." founded in 1957, healthpartners is an integrated health care organization, providing health care services and health plan financing and administration. Healthpartners' mission is to improve health and well-being in partnership with our members, patients and community. Healthpartners seeks to transform health care through a relentless focus on the triple aim - providing exceptional experience for the individual, improving the health of the population, and maintaining affordability. Healthpartners, inc. (hpi) is a minnesota nonprofit corporation and licensed health maintenance organization (hmo) recognized as exempt from federal income tax under internal revenue code (irc) section 501(c)(4) and is the parent entity of healthpartners organizations referred to collectively as "healthpartners". Healthpartners includes an array of tax-exempt and taxable organizations. Healthpartners provides a full range of health care delivery and health plan services including insurance, patient care, administration and health and well-being programs. Healthpartners health plans serve more than 1.8 million medical and dental members nationwide. Healthpartners medical care system includes more than 1,900 employed physicians and dentists, eight owned hospitals with over 1,000 acute care beds, over 100 primary and specialty care medical facilities and dental facilities with practices in minnesota and western wisconsin serving more than 1.34 million patients. Healthpartners health plans contract with other primary and specialty medical facilities and dental facilities, physician groups, hospitals and related healthcare providers to serve plan members. Healthpartners also provides medical education and training to medical professionals and conducts research and fundraising activities that support the health care delivery system. Healthpartners collaborates with other plans, care providers and other community and business organizations in the region and throughout the nation to increase access, create and share quality measures and initiatives, participate in development of public policy, and collaborate in improvements that support the triple aim. Community and population health the institute works with communities to research health needs and implement solutions. Community health research may assess ways to improve nutrition or fitness education. Often, multiple groups, such as schools and health care systems in specific cities, work together toward the same goal. Population research focuses on promoting health in at-risk populations. Because well-being and life satisfaction play an important role in overall health, the institute helped develop a measure to identify and address conditions that have a significant impact on health and well-being. The summary measures of health assesses elements of well-being such as job satisfaction, strong social connections and financial security. Critical care, emergency medicine and surgery for people with critical illnesses and injuries, access to effective treatment is imperative. Often taking place in an emergency or extensive care setting, critical care can be complex, fast-paced and involve a wide variety of conditions and treatment plans. Our research program supports critical care through clinical trials and other studies to improve patient outcomes and advance medicine. Our studies address the continuum of care from emergency to discharge and beyond. And since the pandemic began, we have engaged in high-impact studies of drugs and treatments for covid-19. Specialty areas include emergency medical services; emergency medicine department; surgical intensive care unit; medical intensive care unit; covid-19 treatment; burn and wound care; level i adult and pediatric trauma; hospital medicine department; cardiology and heart research; general surgery. Dental and oral health the institute operates within a large health care system that includes dental providers and a fully integrated electronic health record system. Research is conducted in real-world settings and leverages electronic health record data to improve oral and general health. Our collaboration with investigators from various institutions with relevant expertise lets us employ a team science approach to the work. Priority topics include clinical decision support; pragmatic clinical trials; practice-based research; pain management to reduce risk of chronic pain; dental quality measures; technology and innovative care delivery models to address health disparities; ways to leverage integrated medical and dental data systems; clinical, translational, and mechanistic studies to understand the drivers of dry mouth and improve quality of care and training dental providers to promote human papillomavirus (hpv) vaccine. We are also the administrative center of the midwest region of the national dental practice-based research network, funded by the national institute of dental and craniofacial research. The network is a consortium of practices and dental organizations committed to advancing knowledge of dental practice and finding ways to improve it. Essentially, it is practical science for the benefit of real-world, everyday clinical practice. The dental research team has established relationships with leading clinical and academic oral health research groups nationwide and is a member of the health care systems research network (hcsrn). Hcsrn supports a common database structure (the virtual data warehouse) to allow cross-member common research. Diabetes and chronic disease the institute's research in prevention and management of chronic illness is key to improving lives. By translating new findings into care, we reduce the impact on individuals, their families and communities. The institute studies diabetes management, complications and interventions as well as innovative technologies such as continuous glucose monitoring (cgm), the ambulatory glucose profile (agp) report and time in range metrics. We have numerous active trials for patients to access. Cancer research center studies are available at certain healthpartners clinics. Metro-minnesota community oncology research consortium (mmcorc) studies are available at most participating cancer clinics in the twin cities metropolitan area. Orthopedics institute researchers conduct research related to muscles, joints and bones to help patients prevent and recover from injuries and stay active as they age. We also study patient-reported outcomes, which capture the patient's perspective of the impact of orthopedic-related care on quality of life and ability to function. Orthopedic research is conducted at regions hospital, methodist hospital and at tria orthopedic centers in partnership with physicians from the university of minnesota. We explore the latest orthopedic research in the areas of concussion, foot/ankle, hand/wrist, geriatric fractures, hip, knee, musculoskeletal radiology, patient-reported outcome measures, rehabilitation, shoulder, sports medicine and value. Pulmonology the institute's pulmonology research team focuses on improving the health and care of patients with lung conditions. Those conditions include chronic obstructive pulmonary disease (copd), asthma, lung nodules and sleep disorders. The institute is actively involved in federally funded and industry-sponsored clinical research trials, collaborating with pulmonary experts across the country. Participation in these studies is open to healthpartners members and community members. Vaccines healthpartners institute is part of the vaccine safety datalink (vsd), a collaboration between the centers for disease control and prevention and several large health care systems, including healthpartners. Since 2014, our institute vsd team has led several large observational studies. Findings from this research have been presented at national conferences and to the advisory committee on immunization practices (acip). Acip is a group of medical and public health experts that develop recommendations on use of vaccines for people in the united states. Recently, the institute team has been studying the safety and effectiveness of covid-19 vaccines in general, and when given during pregnancy. We also completed a national institutes of health (nih)-funded study of the safety of influenza vaccine in children with asthma. Worksite and occupational health multiple factors within worksites interact to affect the safety, health and well-being of employees. Institute researchers study worksite health using total worker health principles, which acknowledge that organizational, physical and psychosocial work conditions can affect individuals' health and workforce productivity. Vision vaccine effectiveness (ve) network vision is a research collaboration between the centers for disease control and prevention, westat and multiple health systems with integrated clinical, laboratory, and vaccination records in the united states. The collaboration evaluates how well seasonal influenza (flu) vaccines protect people against flu and how well different covid-19 vaccines protect against covid-19. Iii. Education activities training health professionals medical residents and fellows in partnership with the university of minnesota medical school and hennepin healthcare, the institute trains more than 700 resident physicians and fellows (200 ftes) annually in 30 specialties within the healthpartners hospitals and clinics system of care. Healthpartners institute is proud to sponsor medical education programs to train future physicians for the state of minnesota. The institute graduated 27 residents and fellows in 2022 and many of them chose to stay in minnesota to practice. Areas of training include: anesthesia; cardiology; dermatology; dental; emergency medical services; emergency medicine; family medicine; pediatric emergency medicine; foot and ankle surgery; gastroenterology; hand surgery; hematology/oncology; internal medicine; medical toxicology; neurology; obstetrics and gynecology; occupational medicine; oral maxillofacial surgery; orthopedics; otolaryngology; pediatrics; pharmacy; plastic surgery; physical medicine and rehabilitation; psychiatry; surgery; urology. Resident and fellow physicians provided care in many high-intensity areas, including the emergency center, intensive care, surgical suites and patient units. They provided care for patients from underserved and disadvantaged communities. In addition, they contributed to medical research and the academic environment that sustains healthpartners' cutting-edge approach to care. Advanced practice clinician fellowship program (apc fellowship program) this program has been designed to ensure high-quality care and accelerate productivity in line with healthpartners' workforce strategy. As a postgraduate training program, healthpartners apc fellows can more effectively train in triple aim principles, systems thinking, and teaming behaviors while strengthening their clinical competency in highly specialized areas of care delivery. Apc fellowship programs continue to grow and serve as an effective workforce strategy with a retention rate of 89 percent. The institute graduated 9 apc fellows in 2022. Current apc fellowship programs include emergency medicine, hospital medicine, psychiatry, primary care, orthopedics, cardiology, trauma/acute care, urgent care. Students and observers in partnership with the university of minnesota, st. Catherine's university, metro state university, augsburg college, bethel university and others, the institute provided 2,995 clinical rotation experiences for medical, physician assistant and nurse practitioner students within the healthpartners system of care. The institute office of health professional education partners with the university of minnesota medical school to offer the regions equitable and affordable community health program (reach). This program is a hybrid, longitudinal integrated clerkship designed for medical students. Reach provides specialized training for physicians in the ways social influences such as poverty, homelessness, drug use, and mental illness impact the physical health of our most vulnerable patients. In 2022, reach established a partnership with people incorporated with students working weekly at crisis and intensive residential treatment services (irts) residences. These students also engaged in a human-centered design qi project, carrying out dozens of empathy research-driven interviews that led to a design event focused on improving aspects of care in the residences. R- promotion of simulation/consultation. - hosting annual regional conference for health care professionals and educators from minnesota and surrounding states. - promoting best practice in health care simulation through membership in regional and national organizations, including minnesota simulation for healthcare education partnerships (mnshep) board of directors and the society for simulation in healthcare. Funding for professional education and research the institute's knowledge bank is a fund developed to support learning and teaching in all health disciplines at every stage of career development through scholarships and grants for professional education. These scholarships and grants supported health care professionals in attending conferences, training programs and rotations for graduate medical education. Resident research the institute offers research grants to residents in healthpartners and closely affiliated residency programs. These grants of up to $2,000 are available on a one-time basis to partially fund research projects that enable residents to participate in mentored research programs. Community collaboration and service as a member of the metro minnesota council on graduate medical education (mmcgme), the institute has taken a leadership role in promoting a community approach to resident education. The institute is well-represented on the mmcgme board and its many committees, including the operations committee, gme advocacy committee and the resident well-being committee. The office of health professional education convened an advanced practice clinician consortium to focus work on the alignment of advanced practice clinician training to optimally meet state workforce needs and ensure practice-ready clinicians. Membership is comprised of health system leaders, academic program leaders and key stakeholders in the community. Institute staff partnered with nonprofit organizations such as the alliance for independent academic medical centers, the accreditation council for graduate medical education, the association for hospital medical education, the accreditation council of continuing medical education, and the alliance for continuing education in the health professions to improve health care delivery.

The healthpartners institute is included in the healthpartners, inc. (hp) consolidated audited financial statement. Judgment is required in determining hp's effective tax rate and in evaluating its tax position. Hp establishes accruals for uncertain tax positions when, despite the belief that hp's tax return positions are fully supportable, hp believes that its position may not be fully sustained, primarily given the risks associated with tax litigation or disputes. The uncertain tax position accruals are adjusted in light of changing facts and circumstances, such as the progress of tax audits, case law, and emerging legislation. Hp's effective tax rate includes the impact of changes to the accruals for uncertain tax positions. Hp classifies interest and penalties on tax-related matters as income and other tax expense in the consolidated statements of operations and changes in net assets. Hp recorded no liabilities at december 31, 2022 or 2021 for unrecognized tax benefits.
