Governance Explanations

Form 990, Part VI, Section A, Line 1A

A finance committee is delegated to act on behalf of the board for matters surrounding the annual audit and review interim financial statements. There are no members of the executive committee who are not board members.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once the return is reviewed by management and any changes incorporated into the filing, a draft is provided to governance for their review and approval prior to filing with the irs.

Form 990, Part VI, Section B, Line 15A

The executive director is evaluated on an annual basis by the board chair. A performance review is shared with the executive director and reported to the board of directors. Compensation is determined consistent with policy on annual performance compensation and consistent with the budget which is approved by the board of directors. Notification for the performance increase, if there is one, is made directly to the staff person responsible for payroll from the board chair. Other staff salaries are determined through a review of human service salary survey consistent with comparing similar job descriptions, review of inflation rate for the year, and assessment of progress on annual performance goals. Salaries are set by leadership team and finance committee discussion in the budgeting process. The final salary determination is made by the executive director. This process was last undertaken in 2022.

Form 990, Part VI, Section C, Line 19

The organization's conflict of interest policy and financial statements are available to the public upon request, on guidestar, and on their website.
