Governance Explanations

Form 990, Part VI, Section A, Line 6

Members consist of dues paying individuals, partnerships, corporations, limited liability companies, or other entities which are determined by the association board of directors to be in the business of owning, operating, managing, planning, building, leasing, and/or other similar related activities connected with retail real estate and retail sales in minnesota. General member - everyone company must have one and voting rights; affiliate member - affiliate member shall be an employee of a general member; outstate member - members located outside the following minnesota telephone area codes: 952, 763, 651, 612 and has voting rights. All members have the same rights and privileges except for the right to vote.

The remaining board or executive committee members shall decide if a conflict of interest exists. If a conflict exists, the person may make a presentation at the meeting, but must leave the meeting during the discussion of, and the vote on, the transaction with the potential interest. If a conflict exists, the name of the person and nature of the financial interest in the board minutes. The conflict of interest policy must be signed annually by each director, principal officer, and member of a committee with board-delegated powers.
