“The day to day affairs of the organization are conducted by a management company, artemis policy group. The compensation paid to the management group is reported on part vii, section b. Ellen riker is compensated approximately $200,000 from artemis policy group for her role as executive director of the organization.”

“The voting membership of the association consists of those health care centers domiciled in the united states, that have a current, active program for the diagnosis or treatment of epilepsy and meet the standards set forth by this association. The center is represented by the medical director, or designee at all functions of the association. The medical director, or designee, casts the vote of the center at all times.”

“All of the board of directors of the association are elected by the members of the association entitled to vote. The nominating committee prepares a slate of candidates for vacancies on the board of directors to be presented 30 days prior to the annual meeting to the members for their approval. The nominating committee distributes the rules and procedures that will govern each election, including the use of electronic voting. The nominating committee arranges the terms of office to assure that no more than three terms will expire in the same year.”

“A draft copy of the form 990 is provided to the executive director, audit committee and members of the board. Recipients are requested to timely review the form and respond with any quetions, comments or suggested revisions. After reviewing all input and incorporating any changes, a final copy of the return is sent to the full board and the executive director for signature.”

“Any member of the board, accreditation committee or staff identifies his or her affiliation with any epilepsy center that is accredited by naec, or is seeking accreditation, and does not participate in any discussion or decision affecting that center by the board or accreditation committee. Each member of the board, committees and staff discloses to the board any personal interest in any matter pending before the board or any naec committee, and the naec officers or committee chair determines whether the person refrains from participating in any discussion or decision on such matter. If the board determines that any board, committee, or staff member failed to disclose an acutal or possible conflict of interest or to abide by naec's confidentiality protocols, it takes appropriate action consistent with the naec bylaws.”
