Mission

Community health charities minnesota (chcm) supports 38 well-known and trusted charities that provide research, prevention and direct programs for people affected by chronic illness and their caregivers. Chcm partners with employers to make an impact on the health of their employees, customers and community by acting as the conduit for individuals in the workplace to engage in health causes they care about through education, giving and volunteerism.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is composed of the elected officers, the chairs of the standing committees of the board of directors, and such board members as the board of directors at its discretion may appoint. The executive committee has the authority of the board of directors in the management of the business of the organization in the interval between meetings of the board of directors, and has responsibility for monitoring the bylaws and other governance matters. The executive committee shall at all times be subject to the control and direction of the board of directors.

Form 990, Part VI, Section A, Line 6

Any charity that is dedicated to preventing, managing and/or curing chronic health conditions through direct service, education and/or research and meets other admission criteria adopted by the board of directors from time to time is eligible for annual membership in the corporation upon invitation by the agency relations committee of the board.

Form 990, Part VI, Section A, Line 7A

Members of the organization have the right to nominate one member representative to serve on the board of directors as the executive directors council appointee. Members have no other voting rights.

Form 990, Part VI, Section B, Line 11

The form 990 is prepared by an independent accounting firm based on the information provided by the organization. A draft form 990 is reviewed in detail by the ceo and finance director, then forwarded to the organization's finance committee for review and approval. After all changes and comments are addressed, a revised copy of the form 990 is provided to the full board before filing with the irs.

Form 990, Part VI, Section B, Line 12C

At beginning of annual board cycle (follows fiscal calendar), all board members review and sign the conflict of interest policy. Each director is requested to provide annually, in writing, the existence of any major financial interest that he/she or members of his/her immediate family have in any firm that, to his/her knowledge, might provide goods or services to chcm. These reports are presented to the executive committee and are made part of the permanent records of chcm. The board will determine if a conflict exists. The board also calls for conflicts at the beginning of each board meeting. In any matter coming before the board in which a director has a direct conflict of interest, the director refrains from any vote and the minutes will reflect the disclosure and abstention from voting. For staff, upon hire staff reviews conflict of interest policy included in the personnel handbook and signs a notice acknowledging receipt. Any relationship involving payment of monies to related individuals or firms are prohibited unless receiving prior authorization from the board.

Form 990, Part VI, Section B, Line 15A

The president/ceo's compensation is determined annually by the chairperson of the board and executive committee of the board. Compensation was informed by market comparable, provided by an executive search firm. The experience of the ceo is also taken into consideration as compensation is determined. This process was last completed in 2014 for gene duncan. Other employee compensation is determined by the president/ceo and reviewed and approved by the executive committee. Compensation for other employees was approved june, 2012.

Form 990, Part III, Line 3

In an effort to improve effectiveness and efficiency in costs, community health charities decided to restructure to one national organization. All state affiliated entities were requested to submit a directional vote by june 30, 2014 for agreement with the proposed merger with community health charities of america or disassociation. On may 21, 2014, the board of community health charities of minnesota voted to approve its intention to merge with community health charities of america as one entity upon completion of the necessary due diligence.

Financial Statement Notes

PART IV, LINE 2B:

In accordance with the standard on transfers of assets to a not-for-profit organization or charitable trust that raises or holds contributions for others, if a not-for-profit organization establishes a fund at a foundation with its own funds and specifies itself as the beneficiary of that fund or if a donor contributes assets and names a specific third party beneficiary, the foundation must account for the transfer of such assets as a liability. The organization refers to such funds as funds held for others. The organization maintains legal ownership of these funds and, as such, continues to report the funds as assets of the organization. However, in accordance with the standard, a liability has been established for the fair market value of the funds.

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and similar state income tax laws. Contributions to the organization qualify as a charitable tax deduction by the contributor. The organization is subject to tax on any unrelated business income. The organization provided management services to other state affiliates for the first half of fiscal year 2013. This income is subject to unrelated business income tax. No material tax expense was incurred during the year ended june 30, 2013. The organization follows the income tax standard for uncertain tax positions. No liability was recognized by the organization as a result of the implementation of this standard. The organization files as a tax-exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the internal revenue service (irs). The 2012, 2013, and 2014 tax years of the organization are open for examination by the irs.
