Governance Explanations

Form 990, Part VI, Section B, line 11B

The form 990 is reviewed by the financial committee of the board of directors.

Form 990, Part VI, Section B, line 12C

There is a written conflict of interest policy in the organization's bylaws. During the nomination and appointment process, potential board members are checked to make sure they do not have any violations of the conflict of interest policy. The liaison for the city of minneapolis, who is an ex-officio, non-voting member of the board, has the responsibility of ensuring compliance with the conflict of interest policy.

Form 990, Part VI, Section B, line 15

The executive director submits a performance review to the board's executive committee. The executive committee meets with the full board to determine the executive director's compensation, without the executive director present.

Form 990, Part VI, Section C, line 19

The governing documents, conflict on interest policy, and financial statements are made available to the public on the organization's website.

Form 990, Part III, line 2

With the departure of Executive Director Michael O Fallen at the end of the first quarter the board had to curtail activities to essential services. We laid off non essential staff. In July we hired a new Executive Director, who has worked with the board to assess services, staff and the needs of our community. In October MTN drafted a new strategic plan, changed our mission, established value statements. The new direction will be implemented with the 2017 budget and work plan.

Form 990, Part III, line 3

Changes in staff limited outreach which limited earned income from memberships and classes.

Form 990, Page 12, Part XII, Line 2C

This process has not changed from the prior year.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1With the departure of Executive Director Michael O Fallen at the end of the first quarter the board had to curtail activities to essential services. We laid off non essential staff. In July we hired a new Executive Director, who has worked with the board to assess services, staff and the needs of our community. In October MTN drafted a new strategic plan, changed our mission, established value statements. The new direction will be implemented with the 2017 budget and work plan.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Changes in staff limited outreach which limited earned income from memberships and classes.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE FORM 990 IS REVIEWED BY THE FINANCIAL COMMITTEE OF THE BOARD OF DIRECTORS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THERE IS A WRITTEN CONFLICT OF INTEREST POLICY IN THE ORGANIZATION'S BYLAWS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5THE EXECUTIVE DIRECTOR SUBMITS A PERFORMANCE REVIEW TO THE BOARD'S EXECUTIVE COMMITTEE. THE EXECUTIVE COMMITTEE MEETS WITH THE FULL BOARD TO DETERMINE THE EXECUTIVE DIRECTOR'S COMPENSATION, WITHOUT THE EXECUTIVE DIRECTOR PRESENT.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6THE GOVERNING DOCUMENTS, CONFLICT ON INTEREST POLICY, AND FINANCIAL STATEMENTS ARE MADE AVAILABLE TO THE PUBLIC ON THE ORGANIZATION'S WEBSITE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt7THIS PROCESS HAS NOT CHANGED FROM THE PRIOR YEAR.
