Governance Explanations

Form 990, Part VI, Section A, Line 6

Cali members are law schools that have received american bar association accreditation. Law schools not accredited by the aba, other educational programs, law firms, organization, and individuals may become affiliate members.

Form 990, Part VI, Section A, Line 7A

On an annual basis, a portion of cali's board of directors are up for election. A call for nomination of board of directors goes to all cali members. During the annual membership meeting held in january, the members vote and elect board members to fill vacant board of director positions.

Form 990, Part VI, Section A, Line 7B

Changes to the bylaws or articles of incorporation proposed by the board of directors must be approved by two-thirds of the voting members.

Form 990, Part VI, Section B, Line 11

A draft of the 990 return is provided to the board of directors for their review prior to its filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Once a year the treasurer contacts each director asking him or her to respond to a series of questions concerning possible conflicts of interest.

Form 990, Part VI, Section B, Line 15

The executive director and staff of cali are employees of the university of minnesota, the illinois institute of technology, and emory university. All compensation practices for these employees are subject to the compensation policies of the university of minnesota, illinois institute of technology, and emory university. Compensation is reviewed by the board of directors of cali. Cali reimburses the university of minnesota, illinois institute of technology, and emory university for wages, benefits, and payroll taxes.

Form 990, Part VI, Section C, Line 19

Cali makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code, therefore, the statements do not include a provision for income taxes. The organization reviews income tax positions taken or expected to be taken in income tax returns to determine if there are any income tax uncertainties. This includes positions that the entity is exempt from income taxes or not subject to income taxes on unrelated business income. The organization recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by taxing authorities, based on the technical merits of the positions. The organization has identified no income tax uncertainties. The organization files information returns as a tax-exempt organization. Should that status be challenged in the future, all years since inception could be subject to review by the irs. The organization's federal and state tax returns are open to examination for the tax year 2011 through 2013.
