Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance director and executive director review a draft of the form 990. The form 990 is then presented to the board of directors for review and vote for approval. Upon approval, the executive director signs the form 990 and submits it to the irs.

Form 990, Part VI, Section B, Line 12C

Prior to board action on any substantial transaction, board members are asked to disclose any potential or actual conflict. All board members are covered by this policy. Should a conflict be discovered, the executive committee is the level at which actual conflicts are reviewed.

Form 990, Part VI, Section B, Line 15A

The executive director's compensation was last reviewed in 2015. The agency management team completes an annual assessment of the executive director's job performance. Feedback is provided to agency b.o.d. Chair, who together with the agency b.o.d. Executive committee, conducts performance appraisal for the executive director.
