Providing one-on-one and group pre-purchase homebuyer education and counseling, one-on-one refinance counseling, one-on-one foreclosure counseling, and home improvement and down payment assistance loans to low-to-moderate income residents of the twin cities 7 county metro area with a special emphasis on the city of st. Providing homeownership education and advising as well as residential community lending programs throughout the state of minnesota with a special emphasis on the twin cities metropolitan region.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is responsible for strategic and operational oversight of the organization. The four officer positions (chair, vice chair, treasurer, and secretary) service as members of the committee. Except for the power to amend the articles of incorporation and bylaws, the executive committee shall have all the powers and authority of the board of directors in the intervals between meetings of the board of directors, and is subject to the direction and control of the full board. The executive committee chair shall serve as the chair of the board of directors.

Form 990, Part VI, Section B, Line 11B

A copy of the organization's form 990 is distributed to each board member for their review. The 990 is reviewed by the finance and executive committees prior to filling and is discussed at the next full board meeting.

Form 990, Part VI, Section B, Line 12C

Cnhs's conflict of interest policy applies to all employees, directors, principals, officers, and committee members. A person has financial interest if they have ownership or investment with any entity which cnhs has a transaction or arrangement, compensation arrangement with cnhs or with any entity or individual which cnhs has a transaction or arrangement, or a potential ownership, investment interest, or compensation arrangement with any entity or individual which cnhs is negotiating a transaction or arrangement. All individuals must sign an annual statement affirming that they have read, understand, and will comply to the policy. The conflict of interest policy is reviewed by the board annually. All interested persons must disclose the nature of any potential conflicts of interest with regard to any transaction, which is reviewed by the board of directors. After disclosing all material facts, they shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon. If a conflict of interest is determined to exist, the board shall decide if entering into such transaction is fair and reasonable to cnhs and that it is in cnhs's best interest. Interested persons are removed from participating in such discussions. Results of the deliberations are recorded in the organization's meeting minutes.

The board of directors perform an annual performance review of the executive director and use comparative salary data from the minnesota council of nonprofits, neighborworks america and other sources to determine compensation for the upcoming year. The process described here was last completed in 2024.
