The organization's executive committee consists of the officers of the board of directors. The committee has the full authority to act for the board in managing the affairs of the organization during the intervals between meetings of the full board.

The board must review and approve the form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy that applies to the board of directors resolves that no member of the board shall participate in any discussion or vote on any matter in which he or she or a member of his or her immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. When such a situation presents itself, the director must announce his or her potential conflict, disqualify himself or herself, and be excused from the meeting until discussion is over on the matter involved by remaining members. The board chairperson is expected to make inquiry if such conflict appears to exist and the board member has not made it known. All proceedings are documented in the meeting minutes or as otherwise appropriate. All board members must complete and submit the conflict of interest questionnare that ascertains that the members do not have a substantial financial interest in any outside concern that does business with or is in competition with the minnesota adoption resource network.

Form 990, Part VI, Section B, Line 15

Changes to the executive director's compensation are determined by a special committee of the board of directors through a review process that includes self-evaluation by the board, a 360 evalution survey sent to staff, and board member evaluation. Compensation of exectuive directors of comparable non-profit organizations as well as the previous salary is used to establish the compensation level. There was a written report and summary of the evaluation process, along with a letter of recommendation of new compensation level. This process was documented in committee notes. The committee believes that compensation is at or below market rates for similarly situated organizations and that the salary increase was mertied based on evaluation and organizational growth. The compensation for the executive director was last evaluated and changed in fiscal year 2020.

Mn adopt has a tax-exempt status under 501(c)(3) of the internal revenue code and has adopted accounting for uncertainty in income taxes, asc 740-10. Mn adopt's policy is to evaluate tax positions, at least annually, for the potential for income tax exposure from unrelated business income or from loss of nonprofit status. Mn adopt continues to operate consistent with its original exemption application and each year takes the necessary actions to maintain its exempt status. It has been classified as an organization that is not a private foundation under the internal revenue code and charitable contributions by donors are tax deductible. In compliance with its exempt status, mn adopt annually files a return of organization exempt from income tax (form 990).
