Governance Explanations

The Board reviews the Form 990 prior to submission to the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

The Organization has a conflict of interest policy that covers all employees and board members. The policy is provided to Board members and monitored regularly. When a conflict is thought to exist, Board members are required to disclose to the Board for determination. If the conflict is confirmed, the responsible person shall not participate in deliberation or decision regarding the matter under consideration and shall retire from the room during deliberation unless invited back in to provide relevant information. Any proposed transaction or action in which the Board determines a conflict to exist must be approved by a majority of all the directors entitled to vote who are not interested directors.

Form 990, Part VI, Section B, line 15A

The Board of Directors conducts an annual review of the Executive Director's salary. This can include a comparison of compensation by other like-sized nonprofit organizations in our geographic area along with review of other domestic violence agencies in Minnesota. The individuals in this review do not have any conflicts of interest and are independent of the Executive Director and is documented in Board meeting minutes. Management pay is determined by the Executive Director and follows an in-house wage scale with compensation based on comparison to other local non-profit agencies along with increases for education and years of service.

Usually assigned by the courts, a child-friendly environment is provided for the families supervised by trained SVP staff. The policy is provided to Board members and monitored regularly. When a conflict is thought to exist, Board members are required to disclose to the Board for determination. If the conflict is confirmed, the responsible person shall not participate in deliberation or decision regarding the matter under consideration and shall retire from the room during deliberation unless invited back in to provide relevant information. Any proposed transaction or action in which the Board determines a conflict to exist must be approved by a majority of all the directors entitled to vote who are not interested directors.

This can include a comparison of compensation by other like-sized nonprofit organizations in our geographic area along with review of other domestic violence agencies in Minnesota. The individuals in this review do not have any conflicts of interest and are independent of the Executive Director and is documented in Board meeting minutes. Management pay is determined by the Executive Director and follows an in-house wage scale with compensation based on comparison to other local non-profit agencies along with increases for education and years of service.
