Governance Explanations

Form 990, Part VI, Section A, Line 4

I - e. Under board member termination or removal: addition: 2 or more unexcused absences in 12 months iii c. Board number and qualification. Addition: the maximum number of board of directors will be added back in as (15). Certification: the signing officer will be changed from the "secretary" to the "chair". Certification language was slightly updated. Equal opportunity - the corporation will foster equal opportunity in its mission-driven work. This includes fostering equal opportunity in the organization's policies and procedures; in the election of its corporate directors; in the hiring and advancement of its staff; and in all of its programmatic activities.

Form 990, Part VI, Section A, Line 6

The corporation has no voting members. All members of the corporation are non-voting members. The management of the affairs of corporation is vested in a board of directors.

Form 990, Part VI, Section A, Line 7A

Election of directors may occur as a regular order of business at any board meeting. Directors will be elected by a vote of the board of directors. New directors will assume office immediately upon election. Any eligible person interested in serving may submit a written notice of interest to the secretary or appropriate committee. Or any existing director may nominate a candidate by submitting a notice of interest. The board of the corporation will vote to elect or reject the candidate at its first reasonable opportunity (at any regular meeting or by convening a special meeting if the number of directors will fall below the minimum required).

Form 990, Part VI, Section B, Line 11B

The board of directors receives a copy of the 990 which is typically sent out prior to a full board of directors meeting. The full board of directors reviews the 990, receives a presentation from the cpa at the board meeting and has an opportunity to ask questions. Upon approval from the board of directors, a resolution is passed accepting the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Each member of the board is required to review the conflict of interest policy and sign a conflict of interest statement, disclosing any current or potential conflicts of interest on an annual basis. All signed statements are then kept on file. Each board meeting begins with a request that any board member present who might have a conflict with any item on the agenda declare that conflict at that time.

Form 990, Part VI, Section B, Line 15

Using the most recently available minnesota nonprofit salary and benefits analysis, neighbors, inc. Sets the wage range for paid positions between 20% below and 20% above the median range for organizations with a budget between $2 million and $5 million. The board of directors approves annual compensation of the ceo/executive director and staff.

Form 990, Part VI, Section C, Line 19

Electronic and printed copies of the organization's organizing and governing documents, audit and 990s are available upon request. In addition, the approved public 990 is posted on neighbors website.
