Governance Explanations

The board delegates financial determinations to the finance committee.

Form 990, Part VI, Section B, Line 11B

The form 990 and charitable organization reports were prepared by our lady of peace's external auditing firm with the assistance of the president/ceo and controller of our lady of peace. Upon completion of the preparation of the form 990, a copy of the form 990 was given to the finance committee and the full board of directors for review and approval prior to submitting to the irs.

Form 990, Part VI, Section B, Line 12C

The our lady of peace president/ceo will request if there are any conflict of interests annually of all directors, officers and management employees by means of a questionnaire. The statement will be updated annually at the time of the corporation's annual meeting. The our lady of peace president/ceo will review the statements and make a report to the board regarding the content of such. Any conflict of interest or possible conflicts of interest on the part of an individual should be disclosed to the board and made a matter of record, either through the annual questionnaire procedure or when the interest becomes a matter of board action. Any individual having a conflict of interest or possible conflicts of interest on any matter should not vote or use personal influence on the matter. The minutes of the meeting should reflect that a disclosure was made and the individual's abstention from voting. The president/ceo of our lady of peace will present a summary of the declared potential conflict of interest to the board. This report will become a part of the minutes of such board meetings.

Form 990, Part VI, Section B, Line 15

To ensure reasonableness of executive pay, the board of directors benchmarks the president/ceo's compensation against industry-standard surveys for similar-sized organizations in our market. This data is integrated into the annual budget review by the finance committee and ratified by the full board. The board chairperson leads a formal annual evaluation of the president/ceo, the results of which are reviewed by the full board to justify and authorize any adjustments to compensation. The last review was done in 2025. Officer and other key employees compensation is based on external surveys and merit.

Financial Statement Notes

PART V, LINE 4:

The organization has adopted a policy for distributions of earnings on the investments of the endowment fund. The principal of the endowment fund must not be spent and the earnings may only be spent with approval from the board. The board will not designate a scheduled amount to be spent from the earnings each year; instead, it will spend any earnings from either fund only when an opportunity arises to benefit the organization. Regarding olp's endowment supporting hospice services, the board intends that the earnings be used each year to support operations. At no time will distributions from the endowment fund reduce their value below donor contributions.

PART X, LINE 2:

The organization believes it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are correct.
