Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is composed of no fewer than five board members, including all board officers, and no fewer than one elected board member at large. The ceo is considered a non-voting member of the executive committee. The executive committee acts on behalf of the board of directors, as needed and directed by the board of directors between meetings of the board of directors. All actions taken by the executive committee will be reported to the full board at the next board meeting following the executive committee's action.

The senior director of finance first reviews the 990 received from the accounting firm. It is then reviewed by the chief executive officer who presents it to the board for review and approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to all board members, officers, and executive team members. Each responsible person reviews and acknowledges the policy and completes an annual disclosure of potential conflicts. Disclosures are reviewed by the board chair or designee, and potential conflicts related to board or committee matters are reviewed by that body. The chair or designee determines if a conflict exists when unclear. Individuals with a conflict must disclose all material facts, refrain from discussion or voting, and are not counted toward quorum. All disclosures, determinations, and recusals are documented in meeting minutes, and a summary of annual disclosures for board and officers is provided to the full board each year.

The governance committee reviews the compensation of the ceo - does a comparison based on comparable survey studies. The governance committee makes a recommendation to full board for their approval. For other officers and key employees, annual reviews are completed with consideration of accomplishments of personal and business goals. Accord started providing services as an fms provider in may 2024. Accord makes it easy to use self-directed service options through consumer directed community supports (cdcs), consumer support grant (csg) or community first services and supports (cfss). Accord helps person supported and managing parties with paperwork like timesheets, vendor payments, expense reimbursements, workers' compensation enrollment, federal and state tax filings), so individuals can focus on maintaining their independence.

In quarter 4 of 2024, we ceased providing 24-hour emergency assistance, social security advocacy and individualized home supports with training. These programs were difficult to hire for and were operating at a loss.

Each entity of the organization is incorporated under the laws of minnesota as a nonprofit corporation and is exempt from federal income tax under internal revenue code 501(c)(3) as a public charity and not as a private foundation. Management believes the corporation does not have any uncertain tax positions in 2024 or 2023. The organization is subject to unrelated business income taxes (ubit) for some revenues that are not related to its exempt purpose. The organization does not typically have such activities that would result in a material amount of ubit.

THERE WAS A DHS GRANT FUND FOR HOME AND COMMUNITY BASED SERVICES (HCBS) PROVIDERS TO PROVIDE TECHNOLOGY ASSISTANCE FOR THEIR HOMES. THESE FUNDS WERE USED TO HELP THE FSS PROGRAM FACILITATE THEIR NEEDS FOR TECHNOLOGY AROUND THE EVV (ELECTRONIC VISIT VERIFICATION) ROLL-OUT BY THE STATE.
